Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Packera platform operated by Packera Pty Ltd ("Packera", "we", "us", or "our").

By registering for, accessing, or using our platform, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use the platform.

These Terms apply to all users of the platform, including buyers, suppliers, and any representatives of those organisations.

2. Description of the Platform

Packera is a managed B2B procurement and tendering platform for corrugated packaging. The platform enables buyers to submit packaging requirements, manage their packaging portfolio, and participate in structured supplier tender workflows. It enables suppliers to review tender opportunities and submit pricing responses.

Packera's internal team (platform operators) manages the validation of buyer specifications, the aggregation of demand into bundled opportunities, the management of tender processes, and the review and communication of outcomes. Packera does not itself manufacture or supply packaging products.

Access to the platform is by invitation or approval only. Packera reserves the right to accept or decline any registration at its discretion.

3. User Accounts

To use the platform, you must create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately at enquiries@packera.ai if you become aware of any unauthorised use of your account or any other security breach.

Each user account is personal and may not be shared with or transferred to any other person. You may invite team members to your organisation's account, subject to the roles and permissions provided by the platform.

We reserve the right to suspend or terminate accounts where we have reason to believe these Terms have been violated or where the account has been inactive for an extended period.

4. Subscription Plans

Packera offers the following subscription tiers for buyer accounts. All plans are subject to change with 30 days' notice.

Supplier access to the platform is provided at no subscription cost. Packera may introduce supplier-side fees in the future with appropriate notice.

5. Buyer Obligations

As a buyer using the platform, you agree to:

Provide accurate information — submit packaging specifications, volume data, and site information that are accurate to the best of your knowledge. Inaccurate or misleading specifications may result in quotes that do not reflect actual requirements and may harm supplier relationships.

Engage in good faith — participate in the tendering process in good faith. If you invite suppliers to quote and receive responses, you are expected to give those responses genuine consideration.

Respect confidentiality — treat supplier pricing responses as commercially confidential. You must not disclose a supplier's pricing to any competitor supplier or use it for purposes other than evaluating the relevant quote.

Timely decisions — respond to quote requests, tender outcomes, and platform notifications within a reasonable timeframe to avoid disrupting supplier workflows.

6. Supplier Obligations

As a supplier using the platform, you agree to:

Provide accurate responses — submit pricing, lead times, and capability information that are accurate and reflect your genuine ability to supply. Misleading responses may result in immediate removal from the platform.

Honour submitted responses — pricing responses submitted through the platform are binding offers valid for the period stated in the response. You must not withdraw or materially alter a response after submission except in genuine circumstances, which must be communicated to Packera promptly.

Respect confidentiality — treat buyer specifications, volumes, and requirements as commercially confidential. You must not share this information with third parties or use it outside the context of the relevant quote.

Maintain your capability profile — keep your capability profile, contact details, and site information up to date so that Packera can accurately match you to relevant opportunities.

7. Platform Operator Role

Packera's internal operators play an active role in the platform workflow. This includes reviewing and validating buyer specifications, enriching product data, grouping compatible requirements into tender bundles, managing tender timelines, reviewing supplier responses, and supporting buyer decision-making.

Operators act in the interest of delivering better procurement outcomes for buyers while maintaining a fair and transparent process for suppliers. Operator decisions regarding validation, bundling, and tender management are at Packera's discretion and are not subject to appeal except in cases of clear error.

Packera does not guarantee any particular tender outcome, award, or supplier selection.

8. Fees and Commercial Terms

Access to Packera's platform is subject to the subscription plan selected at onboarding or upgraded to thereafter. See Section 4 for a summary of available plans. The specific commercial terms applicable to your account will be set out in your service agreement or onboarding documentation.

Packera operates on a no win, no fee model for procurement outcomes — you are only charged a success fee when a tender results in a confirmed award. Subscription plans are billed in advance and are non-refundable except as required by law.

All fees are quoted in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise. GST will be added where applicable.

9. Intellectual Property

Packera's IP — all software, workflows, algorithms, benchmarking methodologies, platform design, and aggregated insights created by or for Packera are owned by Packera. You are granted a limited, non-exclusive, non-transferable licence to access and use these for the purposes of receiving our services.

Your data — you retain ownership of the data you submit to the platform, including your packaging specifications, pricing responses, and business information. By submitting data, you grant Packera a licence to use, process, and store that data to provide the services described in these Terms.

Aggregated data — Packera may use anonymised, aggregated data derived from platform activity to generate benchmarks, market insights, and product improvements. This use does not identify any individual user or company.

10. Confidentiality

Each party agrees to keep confidential any information disclosed by the other party that is identified as confidential or that would reasonably be understood to be confidential given the nature of the information and circumstances of disclosure.

This obligation does not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party at the time of disclosure; (c) is independently developed by the receiving party without reference to confidential information; or (d) is required to be disclosed by law or regulatory authority.

11. Prohibited Use

You must not use the platform to:

— submit false, misleading, or fraudulent information including pricing, specifications, or capability data;

— contact other platform users outside of the platform's intended workflows for the purpose of circumventing Packera's commercial arrangements;

— attempt to reverse-engineer, scrape, or extract data from the platform beyond normal use;

— engage in conduct that is anti-competitive, harassing, or otherwise unlawful under Australian law;

— share your account access with unauthorised users.

12. Disclaimers and Limitation of Liability

The platform is provided on an "as is" and "as available" basis. Packera does not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components.

Packera is a facilitator of procurement processes and does not guarantee any particular commercial outcome, pricing result, or supplier selection. All commercial decisions between buyers and suppliers are made by those parties independently.

To the maximum extent permitted by Australian law, Packera's total liability for any claim arising out of or related to these Terms or the platform is limited to the fees paid by you to Packera in the 12 months preceding the claim. Packera is not liable for indirect, consequential, incidental, special, or punitive damages.

Nothing in these Terms excludes or limits any rights you may have under the Australian Consumer Law or other applicable legislation that cannot be excluded by contract.

13. Indemnification

You agree to indemnify, defend, and hold harmless Packera and its officers, employees, and agents from and against any claims, damages, losses, and expenses (including legal fees) arising out of or related to: (a) your use of the platform in violation of these Terms; (b) any inaccurate or misleading information you submit; or (c) your violation of any applicable law or the rights of any third party.

14. Termination

Either party may terminate access to the platform with 30 days' written notice. Packera may suspend or terminate your access immediately without notice if you breach these Terms, engage in fraudulent conduct, or if we are required to do so by law.

Upon termination, your right to access the platform ceases. Data retention following termination is governed by our Privacy Policy and any applicable contractual arrangements.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Victoria, Australia. You agree to submit to the exclusive jurisdiction of the courts of Victoria for any dispute arising out of or in connection with these Terms.

Before commencing legal proceedings, parties agree to attempt to resolve disputes in good faith through direct negotiation. If unresolved within 30 days, either party may refer the dispute to mediation administered by the Australian Disputes Centre before resorting to litigation.

16. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes by email or in-platform notification at least 14 days before the changes take effect. Your continued use of the platform after that date constitutes acceptance of the updated Terms.
